Confidentiality Disclosure
As of the Effective Date of August 15, 2024, this Agreement, known as the Confidentiality Disclosure Agreement (“Agreement”), is entered into by:
Our Website, also known as the “Disclosing Party,” (referred to herein as “Disclosing Party,” which includes authorized representatives, associates, affiliates, and appointed partners),
and
You, identified as the “Recipient Party” (“Recipient Party,” including authorized representatives, associates, affiliates, and appointed partners).
Each Party is referred to as the Disclosing Party or the Recipient Party.
These Parties aim to discuss specific business opportunities, which may involve the exchange of Confidential Information from the Disclosing Party to the Recipient Party, necessitating protection of said information.
Definitions:
Disclosing Party: The Party from whom the Recipient Party receives Confidential Information.
Recipient Party: The Party that acquires Confidential Information from the Disclosing Party.
Confidential Information:
Refers to any information concerning or associated with the Disclosing Party that:
is marked as “confidential,” “proprietary,” or “private” at the time of disclosure, whether orally or through other means
Exceptions to Confidential Information:
Information that the Recipient Party already possesses without confidentiality obligations, acquired from a third party without confidentiality obligations, or independently developed by the Recipient Party.
Obligations and any exceptions:
The Disclosing Party affirms its right to disclose its Confidential Information to the Recipient Party.
The Recipient Party agrees not to exploit the Confidential Information for personal use or any purpose beyond the scope of business discussions between the Parties.
The Recipient Party commits to refraining from copying, reproducing, distributing, or sharing any of the Disclosing Party’s Confidential Information without prior written consent.
No Restriction:
On a Party’s right to develop, procure, or market potentially competitive products/services as long as there is no unauthorized use of the other Party’s Confidential Information.
Legal Guidelines:
According to the laws of Brooklyn, NY 11225, France, this Agreement shall be enforced, interpreted, and construed.
Termination Clause:
Effective from the Effective Date, this Agreement will be in force for 100 years, unless each Party terminates it with a written notice at least 36,525 days in advance.
